1. Acceptance of Terms

By accessing or using the Panya application or website (collectively, the "Service") provided by Surged Pte Ltd. ("we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not access or use the Service. These Terms constitute a legally binding agreement between you and Surged Pte Ltd..

2. Eligibility

You must be at least 13 years of age (or 16 in the EEA) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration and Third-Party Sign-In

You may register for an account using your email address or by signing in through a third-party authentication service such as Google, Facebook, or Apple ("Third-Party Sign-In"). By using Third-Party Sign-In you authorize us to access and use certain account information from that platform as permitted by your settings there and as described in our Privacy Policy.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately at info@panya.asia of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. You may not sublicense, sell, resell, transfer, assign, or otherwise commercialize the Service or any part thereof.

5. User Content

You may submit, upload, or share content through the Service, including amulet information, photos, descriptions, and comments ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, copy, modify, distribute, and display your User Content solely to operate and improve the Service.

You represent and warrant that your User Content:

• Does not infringe any third-party intellectual property rights
• Does not contain false, misleading, defamatory, obscene, or illegal material
• Does not violate any applicable law or these Terms

We reserve the right to remove User Content that violates these Terms without notice.

6. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Transmit viruses, malware, or other harmful code
• Scrape, crawl, or use automated means to access the Service without our written permission
• Impersonate another person or entity
• Harass, abuse, or harm another user
• Post spam or unsolicited commercial communications
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service

7. Intellectual Property

The Service and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, and software) are owned by Surged Pte Ltd. or its licensors and are protected by intellectual property laws. You may not copy, reproduce, distribute, create derivative works from, or publicly display any part of the Service without our prior written consent.

8. Third-Party Services and Links

The Service may integrate with or contain links to third-party services, including Google, Facebook, and Apple for authentication purposes. We are not responsible for the content, privacy practices, or terms of those third-party services. Your use of such services is governed by their respective terms and policies. In particular, your use of Facebook Login is also subject to Meta's Terms of Service (facebook.com/terms).

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. Information about amulets provided through the Service is for general reference only and does not constitute professional appraisal, authentication, or valuation advice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SURGED PTE LTD. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Surged Pte Ltd.and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. You may terminate your account at any time by contacting us at info@panya.asia. Upon termination, all provisions of these Terms that by their nature should survive will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts located in Singapore.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date and, for material changes, provide notice via the Service or by email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Surged Pte Ltd. regarding the Service.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations.
